PIXELTOOLS END-USER LICENSE AGREEMENT (EULA)
END-USER LICENSE AGREEMENT FOR PIXELTOOLS DIGITAL PRODUCTS
PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING, DOWNLOADING, ACCESSING, OR USING ANY PIXELTOOLS SOFTWARE PRODUCT.
This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and BOWDACIOUS MEDIA LLC, dba PIXELTOOLS (“PIXELTOOLS”), for the PIXELTOOLS software product(s), which may include associated software components, media, printed materials, and online or electronic documentation (“SOFTWARE PRODUCT”).
By installing, downloading, copying, accessing, or otherwise using the SOFTWARE PRODUCT, you acknowledge and agree that you have read, understand, and accept this EULA in its entirety. Installing or using the SOFTWARE PRODUCT constitutes your full agreement to be bound by these terms. Failure to read or fully understand this EULA does not exempt you from its application or invalidate this agreement.
If you do not agree to the terms of this EULA, do not install, download, or use the SOFTWARE PRODUCT.
The SOFTWARE PRODUCT is protected by copyright laws and international treaties. The SOFTWARE PRODUCT is licensed, not sold.
GRANT OF LICENSE
Installation and Use
PIXELTOOLS grants you a non-exclusive, non-transferable license to install and use up to three (3) copies of the SOFTWARE PRODUCT on computers owned and operated by you, provided each computer is running a validly licensed operating system compatible with the SOFTWARE PRODUCT. Use by more than one individual, or installation on shared systems accessible by multiple individuals, requires an approved multi-seat or enterprise license.
Backup Copies
You may make a reasonable number of backup copies for archival purposes only. All backup copies must remain in your exclusive possession and control. It is the responsibility of the licensed user to safeguard these backups and ensure they are not accessed by, shared with, or distributed to any unlicensed user. Backup copies may not be shared, uploaded, or made available to any third party under any circumstances.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
Maintenance of Copyright Notices
You must not remove, alter, or obscure any copyright or proprietary notices on any copies of the SOFTWARE PRODUCT.
Distribution
You may not distribute, share, upload, publish, resell, sublicense, or otherwise make available registered copies of the SOFTWARE PRODUCT to any third party for any reason.
This includes, but is not limited to:
- Sharing files or download links publicly or privately
- Uploading files to cloud drives or servers accessible by others
- Sharing within a facility, studio, classroom, or production environment
- Posting files in online forums, Discord servers, or group chats
Evaluation versions and free samples from our website may be shared only in unmodified form.
No Commercial Service Bureau Use
The SOFTWARE PRODUCT may not be used in any commercial service bureau arrangement, including but not limited to shared grading suites, facility-wide installations, environments where multiple users access a single license, or any situation in which tools are shared across multiple operators. Each purchase grants installation on up to three (3) devices used by a single individual.
Any multi-user, facility, institutional, or team usage requires a formal multi-seat or enterprise license, which can be obtained by contacting PixelTools at info@pixeltoolspost.com.
No Creation of Derivative Commercial Products
You may not use the SOFTWARE PRODUCT—whether in whole or in part—to create derivative tools or commercial products intended for sale, distribution, or licensing.
Prohibited uses include, but are not limited to:
- Creating LUTs, PowerGrades, presets, or similar tools for sale
- Including PixelTools-derived math, transforms, or looks in LUT packs, courses, memberships, or toolkits
- Packaging node structures, adjustments, or workflows for commercial release
Creating custom looks for an individual client project is permitted. Creating generalized color-grading tools, LUT packs, or derivatives for resale is strictly prohibited.
No Extraction of Color Science or Look Profiles
You may not analyze, extract, reconstruct, profile, reverse-engineer, or attempt to derive the underlying color science, transforms, mathematical operations, or look profiles of the SOFTWARE PRODUCT.
This includes:
- LUT sampling or curve matching
- AI-assisted reconstruction
- Profiling via test charts or analysis plates
- Rebuilding transforms through mathematical modeling or measurement
Any attempt to replicate PixelTools’ proprietary color science is strictly prohibited.
No AI Training / No Dataset Use
The SOFTWARE PRODUCT may not be used for:
- Training machine-learning models
- Creating datasets for AI systems
- Developing automated look-matching tools
- Feeding transforms or outputs into AI training pipelines
PixelTools products may not be included in datasets, training material, or machine-learning workflows of any kind.
Prohibition on Reverse Engineering
You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT except where explicitly permitted by law.
Rental
You may not rent, lease, or lend the SOFTWARE PRODUCT.
Support Services
PIXELTOOLS may provide support services at its discretion. Any supplemental software provided through support remains part of the SOFTWARE PRODUCT and is governed by this EULA.
Rights to Updates
PixelTools may, at its sole discretion, provide updates, enhancements, bug fixes, or new versions of the SOFTWARE PRODUCT. PixelTools is under no obligation to provide ongoing updates or maintain compatibility with future versions of DaVinci Resolve, operating systems, GPUs, or third-party software. PixelTools may discontinue products at any time, and discontinuation of a product also discontinues related updates or ongoing development.
Warranty / Compatibility Clarification
PixelTools makes reasonable efforts to ensure compatibility across common computers, GPU configurations, and DaVinci Resolve environments; however, compatibility is not guaranteed. Due to the wide variety of hardware, operating systems, software versions, and user workflows, performance and results may vary.
No Claim of Professional Result
PixelTools does not guarantee any specific artistic, aesthetic, technical, or commercial outcome from use of the SOFTWARE PRODUCT. Results depend on user skill, workflow, footage characteristics, and system configuration.
Compliance with Laws
You must comply with all applicable laws related to your use of the SOFTWARE PRODUCT.
TERMINATION
PIXELTOOLS may terminate this EULA immediately if you fail to comply with its terms. Upon termination, you must destroy all copies of the SOFTWARE PRODUCT and cease all use.
COPYRIGHT
All title, ownership, and intellectual property rights in and to the SOFTWARE PRODUCT remain the property of PIXELTOOLS or its suppliers. All rights not expressly granted are reserved.
NO WARRANTIES
The SOFTWARE PRODUCT is provided “AS IS” without warranties of any kind, express or implied, including but not limited to merchantability, noninfringement, or fitness for a particular purpose. PIXELTOOLS does not warrant the accuracy or completeness of any information, transforms, or outputs generated by the SOFTWARE PRODUCT.
PAYMENT
All sales are final. There are no refunds, returns, or exchanges. Refunds for accidental multiple purchases may be considered but are subject to transaction fees. It is the customer’s responsibility to confirm compatibility using samples and documentation before purchasing. All products are delivered digitally.
LIMITATION OF LIABILITY
In no event shall PIXELTOOLS be liable for any damages—including lost profits, lost data, business interruption, or any consequential damages—arising out of the use or inability to use the SOFTWARE PRODUCT, even if advised of the possibility of such damages.
PIXELTOOLS shall have no liability for errors, omissions, or issues arising from content created or accessed through use of the SOFTWARE PRODUCT.
